In a further step to improving corporate transparency and accountability, the Ministry of Corporate Affairs (MCA) in India has created a new compliance requirement for companies. Starting in 2024-25, as per the MCA’s New Compliance Requirement, companies will be required to provide a photograph of their registered office, in addition to submission of MGT-7 (an Annual Return) and AOC-4 (Financial Statements) via the MCA portal. Companies must follow the following specifications when preparing the photograph:

2. Take a high-resolution picture of the registered office during the day with the nameboard in full view, including the entrance/door/building.

3. Check that the metadata of the image has the correct geo-tag coordinates.

4. Compress the image and format the photo to conform to the MCA file upload guidelines.

5. Upload the image when submitting MGT-7 and AOC-4 through the MCA portal.

To be clear, companies may not receive approval on their filings, have their filings rejected, or receive penalties under Section 92 and Section 137 of the Companies Act if they do not provide this evidence.
